Partner / Vendor Terms of Service

This document constitutes a legally binding agreement between QikStitch and the independent tailoring professionals, shops, and boutiques ("Partners") listing services on our platform.

1 Onboarding, Verification, and Compliance

Partners must provide accurate legal business credentials, GST registration (where applicable), and verifiable work portfolios. QikStitch reserves the right to verify, accept, or reject any application. Partners are responsible for maintaining all necessary licenses and environmental/labour law compliances throughout the term of this agreement.

2 Service Level Agreements (SLAs)

• Responsiveness: Partners must accept or reject digital orders within the platform-designated window; failure to respond is deemed a rejection.
• Quality Standards: Services must be performed with professional skill and diligence, strictly adhering to customer instructions. Substitution of materials without express consent is prohibited.
• Timeliness: Time is of the essence. Chronic delays or failure to meet delivery milestones may result in penalties or account termination.

3 Financial Commercials and Payouts

• Commission Structure: QikStitch shall deduct a pre-agreed marketplace/service fee from the total order value.
• Payout Terms: Payments are processed after the customer confirmation window or automated acceptance period. QikStitch reserves the right to set off any amounts owed by the Partner (e.g., penalties or refunds) against future payouts.

4 Intellectual Property and Data Protection

Partners retain ownership of their proprietary brands but grant QikStitch a non-exclusive license to use portfolio images for marketing. Partners must comply with the Digital Personal Data Protection (DPDP) Act, 2023, regarding any customer data they process. Unauthorized use of copyrighted or deceptive stock imagery is strictly prohibited.

5 Liability, Indemnity, and Dispute Resolution

Partners agree to indemnify QikStitch against any third-party claims arising from their workmanship, service failure, or breach of these terms. Any dispute shall be resolved through good-faith senior management discussion, followed by arbitration in Anantapur, Andhra Pradesh, under the Arbitration and Conciliation Act, 1996.

6 Force Majeure

Neither party shall be liable for failure to perform obligations due to causes beyond their reasonable control, including extreme weather, acts of government, or infrastructure failure.
